RTL Group S.A., el mayor grupo de televisión Europeo con sede en Luxemburgo, fue creado en la Primavera del 2000 tras la fusión de CLT-UFA S.A., el Grupo de radio y televisión participado por Bertelsmann AG (con el Grupo de periódicos WAZ) y el Grupo Belga-Canadiense Groupe Bruxelles Lambert S.A. (GBL), con la compañía productora Británica Pearson TV propiedad del Grupo de comunicación Británico Pearson plc.

CLT-UFA S.A. fue creada en enero de 1997 tras el acuerdo firmado en 1996 entre Audiofina S.A. y Bertelsmann AG para la combinación de sus intereses en radio y televisión y en las actividades relativas a producción y distribución de derechos audiovisuales en Europa. CLT-UFA S.A. fue formada el 13 de enero de 1997 tras la aportación por parte de Bertelsmann TV und Filmverwaltungs GmbH de UFA Holding GmbH a CLT S.A. La Compagnie Luxembourgeoise de Télédiffusion (CLT) fue incorporada en Luxemburgo el 30 de mayo de 1931 con el nombre de Radio Luxemburgo.

En julio del 2001, Bertelsmann AG pasó a controlar RTL Group S.A. tras el intercambio accionarial con GBL por el que GBL intercambió su participación del 30% en RTL Group por un 25% de Bertelsmann AG. En diciembre del 2001, Bertelsmann adquirió a Pearson plc su 22% en RTL Group, pasando a controlar el 90.2% de RTL Group, a través de Bertelsmann (53.2%) y BWTV (37%). Bertelsmann controla el 80% de BWTV y WAZ el otro 20%. El 9.8% restante de RTL Group cotiza en Bolsa.

Bertelsmann AG es una compañía privada cuyos propietarios son la Fundación Bertelsmann, Groupe Bruxelles Lambert y la familia Mohn. Bertelsmann ha llegado a un acuerdo con la Fundación Zeit que le permite paso a paso recomprar las acciones poseidas por ésta. Una vez haya recomprado la participación de la Fundación Zeit, el capital de la compañía estará en manos de tres accionistas: la Fundación Bertelsmann (57.6%), la familia Mohn (17.3%) y el Groupe Bruxelles Lambert (25.1%, de las que un 0.1% son acciones sin voto). Los derechos de voto propiedad de la Fundación Bertelsmann y la familia Mohn son ejercidos por Bertelsmann Verwaltungsgesellschaft (BVG). BVG controlará entonces el 75% de los derechos de voto, mientras que el Groupe Bruxelles Lambert controlará el 25%.

RTL cuenta con cuatro divisiones: televisión, contenidos (FremantleMedia), radio y nuevos medios. Las principales participaciones y negocios en televisión y contenidos de RTL son los siguientes:

RTL TELEVISION

RTL TELEVISION comenzó sus emisiones en enero de 1984 como RTLplus y el 1 de enero de 1993 adoptó su nombre actual. En la actualidad es la cadena más vista en Alemania con el 14.8% de la audiencia y el 17.9% de la audiencia situada entre los 14 y 49 años de edad. RTL es una cadena generalista con informativos, deportes, concursos, series y películas. Otras actividades de RTL Television son la Escuela de Periodismo RTL, la RTL Creation (una agencia de marketing y diseño) y la teletienda RTL SHOP en compañía de RTL NEWMEDIA y M6 (que fue lanzada en marzo del 2001). RTL Television GmbH opera RTL TELEVISION.  

RTL II

RTL II comenzó sus emisiones en 1993 y está formado por un equipo de 110 personas. RTL II Fernsehen GmbH & Co.KG opera RTL II y sus accionistas son:

VOX

VOX comenzó sus emisiones el 20 de diciembre de 1991 y fue relanzado de nuevo en 1995. En la actualidad es la tercera cadena generalista del Grupo en Alemania. En el año 2001 obtuvo el 3.1% de la audiencia y el 4.3% en el segmento de edad comprendido entre los 14 y los 49 años. VOX Film & Fernseh GmbH & Co.KG (anteriormente llamada Westschienenkanal Film und Fernseh GmbH & Co. KG) opera VOX. Tras la compra por parte del Grupo, en el año 2000, del 49.9% de News Corp y el 24.9% de Canal Plus Francia en VOX, el accionariado de VOX Film & Fernseh GmbH & Co.KG está compuesto por:

RTL Group S.A., the largest European broadcaster based in Luxembourg, was created in Spring 2000 following the merger of CLT-UFA S.A., the TV and radio group owned by Bertelsmann AG (with the German newspaper group WAZ) and the Belgian-Canadian Groupe Bruxelles Lambert S.A. (GBL), with the British production company Pearson TV owned by the UK-based media group Pearson plc. 

CLT-UFA S.A. was created in January 1997 following the 1996 agreement between Audiofina S.A. and Bertelsmann AG on the combination of their radio and television interests and their activities related to the production and distribuiton of audiovisual rights in Europe. CLT-UFA S.A. was formed with the contribution by Bertelsmann TV und Filmverwaltungs GmbH of UFA Holding GmbH on January 13, 1997 to CLT S.A. The Compagnie Luxembourgeoise de Télédiffusion (CLT) was incorporated under the laws of Luxembourg on May 30, 1931 as Radio Luxembourg.

In July 2001, Bertelsmann AG became majority shareholder of RTL Group S.A. following a stock swap with GBL in which GBL changed its 30 per cent stake in RTL Group against a 25 per cent stake in Bertelsmann AG. In December 2001, Bertelsmann entered into an agreement with Pearson plc to acquire its 22 per cent stake in RTL Group, raising Bertelsmann’s interest in RTL Group to 90.2 per cent, through Bertelsmann 53.2% and BWTV 37%. Bertelsmann has 80% of BWTV and WAZ the other 20%. The remaining 9.8 per cent of RTL Group are publicly traded.

Bertelsmann AG is a non-public stock corporation. At present, its shareholders are the Bertelsmann Foundation, Groupe Bruxelles Lambert and the Mohn family. Bertelsmann has signed an agreement with the Zeit Foundation that will enable a step-by-step buyback of shares held by the latter. Once this has been achieved, the capital shares will be held by three shareholders: the Bertelsmann Foundation (57.6%), the Mohn family (17.3%) and Groupe Bruxelles Lambert (25.1%, of which 0.1% are non-voting shares). The voting rights held by the Bertelsmann Foundation and the Mohn family are exercised by Bertelsmann Verwaltungsgesellschaft (BVG). RTL TELEVISION

RTL TELEVISION was launched on January, 1984 as RTLplus and on January 1st, 1993 it adopted its current name. It´s currently the most watched television channel in Germany with 14.8% of total viewers and a market share of 17.9 per cent among the 14-to-49 age group. RTL is a general entertainment channel with news programs, sport, game shows, series and movies. Other activities of RTL Television are the RTL School of Journalism, RTL Creation (a marketing and design agency) and the homeshopping channel RTL SHOP in partnership with RTL NEWMEDIA and M6 (which was launched in March 2001). RTL TELEVISION is run by RTL Television GmbH.  

RTL II
